Job Description
Ubongo is recruiting a Governance Manager to serve as a steward of organizational integrity and governance excellence.
The Governance Manager will strengthen Board and committee operations, corporate governance, regulatory compliance, risk oversight and organizational accountability across Ubongo's jurisdictions in Tanzania, the United States and South Africa.
The position will facilitate effective communication between the Board and Executive Team, support strategic alignment with Ubongo's nonprofit mission and ensure transparent and compliant organizational operations.

Governance Manager

KEY RESPONSIBILITIES
Board Governance Management
The Governance Manager will:
- Develop and maintain governance frameworks and best practices that strengthen Board effectiveness, accountability and organizational performance.
- Perform company-secretarial administrative duties for Ubongo International, Ubongo Learning and Ubongo South Africa.
- Develop annual Board work plans.
- Organize Board meetings.
- Take and circulate Board meeting minutes.
- Draft Board resolutions.
- Organize elections or orientations for new trustees.
- Maintain current bylaws, Board policies, charters and delegated authorities.
- Ensure governance arrangements comply with applicable laws in the respective countries.
- Support ethical operations aligned with Ubongo's mission.
- Provide legal advice and input to Boards.
- Support interpretation and implementation of bylaws and regulations.
- Maintain delegations of authority across all entities.
BOARD & CEO PERFORMANCE
The Governance Manager will:
- Develop and oversee performance-assessment processes for the Board.
- Support assessment of CEO performance.
- Ensure relevant KPIs are identified.
- Track and regularly report performance indicators to the Board.
- Develop and deliver governance training for Board members.
- Provide governance and accountability training to Executive Leadership and other stakeholders.
- Lead Board-member onboarding.
- Support Board training and engagement.
- Coordinate Board rotation planning.
- Maintain Board registers.
- Manage the governance platform for the Board and Executive Team.
- Work with the Executive Team to ensure the Board is informed about important organizational developments, risks and opportunities.
OPERATIONAL GOVERNANCE
Responsibilities include:
- Ensuring Ubongo adheres to applicable local NGO laws.
- Supporting compliance with NGO registry requirements.
- Ensuring statutory reporting obligations are met.
- Identifying operational risks.
- Overseeing internal governance audits.
- Supporting organizational transparency to donors and the public.
- Clarifying accountability structures between the Board and staff.
- Establishing appropriate governance tiers.
- Establishing reporting requirements for partnerships.
- Producing assurance summaries for the Board supported by evidence.
- Monitoring compliance with governance frameworks and procedures.
- Monitoring changes in the legal and regulatory landscape.
- Providing regulatory and compliance guidance to Objective Key Results functions.
- Responding to regulatory and compliance queries.
- Supporting development of a strong culture of governance and compliance.
QUALIFICATIONS
Candidates should have a relevant Bachelor's Degree in:
- Law.
- Business.
- Accounting.
- Management.
- Finance.

EXPERIENCE REQUIRED
Candidates should have:
- At least 5 years of experience in corporate governance, risk management or compliance.
- Experience in corporate governance.
- Experience in Board engagement, communication and relationship-building — specifically stated as a must.
GOVERNANCE & REGULATORY KNOWLEDGE
Candidates should demonstrate knowledge of:
- Legal and regulatory frameworks.
- Corporate-governance principles.
- Nonprofit governance practices in Tanzania.
- Board structures.
- Governance policies and procedures.
- Board and executive performance-assessment frameworks.
Familiarity with comparable nonprofit governance and regulatory requirements in South Africa or Texas is desirable.
